Welcome to Noony (“Noony”, “we”, “us”, or “our”). By accessing our website, downloading our mobile application, or utilizing any of our communication services, you agree to be bound by these Terms and Conditions (“Terms”), along with our Privacy Policy and Cancellation & Refund Policy.

If you do not agree to all terms and conditions set forth herein, you must refrain from accessing the website or using the application.

2. Description of the Platform

Noony is a mobile-first peer audio communication platform that enables users to connect with verified listeners for meaningful, one-on-one voice conversations. Our platform provides a safe, welcoming environment to share everyday thoughts, seek an empathetic ear, and engage in friendly discussions.

3. User Eligibility

To access and register an account on Noony, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Possess the legal capacity to enter into a binding agreement under applicable Indian laws.
• Provide a valid mobile telephone number capable of receiving one-time passwords (OTP) for authentication.
• Not have been previously suspended or permanently removed from our platform for code of conduct violations.

4. User Accounts & Security

When creating an account, you agree to provide truthful and accurate information. You are solely responsible for maintaining the confidentiality of your mobile number, credentials, and verification codes. All activities occurring under your account remain your responsibility.

If you suspect unauthorized access to your account or any security breach, notify our team immediately at support@noony.online.

5. In-App Coins, Pricing & Payments

Voice calls on Noony operate using a coin-based billing system:

• Coin Utility: Coins are digital in-app credits exclusively designed to initiate and maintain voice connections with available listeners. Rates are calculated and deducted per minute of active conversation.
• No Monetary Value: Coins do not constitute real currency, property, or legal tender. Coins have no monetary redemption value outside the Noony mobile application and cannot be transferred, sold, or bartered between accounts.
• Payment Processing: All coin purchases and recharges are processed securely through certified, authorized third-party payment gateway partners. We do not store your sensitive financial credentials, card numbers, CVVs, or internet banking passwords.
• Transparent Charges: The price for each coin package is displayed in Indian Rupees (INR) clearly within the application before you confirm any transaction. There are no automatic recurring subscriptions or hidden recurring charges.

6. Community Code of Conduct

We maintain zero tolerance for behavior that compromises the safety, dignity, or well-being of our community. When using Noony, you expressly agree not to:

• Harass, threaten, stalk, abuse, intimidate, or demean any caller or listener.
• Transmit sexually explicit, obscene, pornographic, hateful, or discriminatory speech.
• Solicit personal financial details, passwords, physical meeting addresses, or offline monetary favors.
• Impersonate any individual, brand, or entity.
• Record, distribute, or publicly broadcast any audio conversation without explicit mutual consent.
• Attempt to reverse-engineer, exploit bugs, overload server infrastructure, or circumvent the coin balance mechanism.

Violation of community standards will result in immediate suspension, account termination, and forfeiture of unused coin balances without notice.

7. Intellectual Property Rights

All visual assets, trademarks, brand names, software code, user interface designs, logos, and graphics associated with Noony are the exclusive intellectual property of Noony and its licensors. You may not copy, reproduce, modify, or distribute any part of our platform without prior written authorization.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Noony and its directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages resulting from your access to or inability to use the platform, including but not limited to conversational disagreements, user statements during calls, or technical telecom interruptions.

The platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

9. Governing Law & Dispute Resolution

These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. Any legal dispute, claim, or controversy arising out of or relating to your use of Noony shall be subject to the exclusive jurisdiction of the competent courts in India.

10. Modifications to Terms

We reserve the right to amend or update these Terms at any time to reflect operational, legal, or regulatory updates. Continued use of Noony after such modifications constitutes your acceptance of the revised Terms.
